which software can convert 700 mb divx movies into 300 mb x264 movies?

I don,t want to watch it in an ipod.
you see nowadays I found that 300mb movies are available which have the same quality as an divx avi file. many such files are available in rapidshare. I want to know which software can convert my 700mb movies into 300mb movies retaining the same quality.
