80s sci fi robot movie? dont know name?

when i was alittle kid, i seen this movie that had a robot and at the end he was all beat up and fought another brand new robot, i think the new one was almost like gold and the other one was a beat up silver one,think they fought in a ventalation fan room . i know there were some scenes on a boat in the river with shoot outs, and more scenes with 3 wheelers in the woods. i loved this movie when i was a kid and cant find it or think of the name of it, and my dad don't remember the name. i haven't seen it in 15 years at least
its not robocop,terminator,short circuit,deadly friend. cheaper movie
 
I'm looking for the same movie! I remember there being other robots, military, black. The robots you're talking about, one was a main character, a teacher or tutor or something, then at the end they had to enter in her 'combat code' so she could go after the rogue robot.

Any help, anyone??
