Meeting to discuss potential partnership - questions to ask?

Hi,

I have a meeting two two directors of company who deal specifically with web design, SEO and web strategy.

I own a video production company and have worked in sales and sales management all of my career. Never specifically in this sector, but the principals of selling are the same, this is just on a grander scale. Their products and services are not aimed at small businesses, but rather larger, corporate customers.

The partnership would be beneficial because they are struggling to bring on board new customers as a result of not being focused on sales. The would also like to add video production as a product offering, complimenting their services and as a stand alone.

The original concept was for me to to be a joint director in the company. They now wish to explore me being an employee at the first step with the progression to joining them in a joint partnership.

I have suggested that we meet for a strategy day, to discuss:
- where the company is now, the opportunities, risks and challenges moving forward
- the companies mission statement
- our proposed roles and responsibilities
- the organisations strengths and areas for development
- personal and management team strengths and areas for development
- financials
- the strategy moving forward: 1 year, 5 year and 10 year plan
- pay and bonuses

I recognise the strengths and weaknesses of myself and I feel it is also a weakness of my proposed parters - attention to detail! This is a large concern and needs to be addressed, but is certainly able to be solved.

Are there any additional questions I should consider? I know partnerships can be fraught with difficulties.

For info: the 2nd director joined in recently, closing his company. I believe the company failed to deliver on some of their promises (mostly time-frames) of there existing customers and they came on board to help with the internal runnings of the company as well as brining an expertise in SEO and web strategy.
