updating to iOS 4.0 help?

i have a mc model ipod touch 2nd gen and im going to upgrade to the iOS 4.0 soon but if i update it then will it erase EVERYTHING off of my ipod? how do i back my things up? and where should i store it on my laptop? also when i upgrade to the latest update then how can i jailbreak it and yes mc models can be jailbroken
